Service Agreement

GullStack Trust ("Provider") agrees to provide the following services to [CLIENT NAME] ("Client"):

Payment shall be made in two installments:

Final payment is due within 7 days of project completion notification. Late payments may incur a 1.5% monthly fee.

The project timeline begins upon receipt of the deposit and all required materials from Client. Provider will deliver work in stages for Client review. Three (3) rounds of revisions are included in the project scope. Additional revisions beyond the included rounds will be billed at the hourly rate specified above.

Upon receipt of final payment, all intellectual property rights for the deliverables specified in this agreement shall transfer to the Client. This includes:

• All custom designs, graphics, and visual assets created for this project
• All custom code and functionality developed specifically for Client
• All content created by Provider for Client's project

Provider retains the right to display the work in portfolios and case studies for promotional purposes, unless otherwise agreed in writing.

Both parties agree to keep confidential any proprietary information shared during the course of this project. This includes business strategies, customer data, pricing information, and any materials marked as confidential.

Either party may terminate this agreement with 14 days written notice. In the event of termination:

• Client shall pay for all work completed up to the termination date
• Provider shall deliver all completed work and materials to Client
• No kill fee or penalty shall apply

This agreement shall be governed by the laws of the State of Utah. Any disputes shall be resolved through good-faith negotiation, or if necessary, binding arbitration in Salt Lake County, Utah.
